Concept of Representative Office

 

Representative Office (RO) is established by foreign companies and act as a liaison office. A RO is not considered to be a separate legal entity, is not allowed to directly engage in business activities for profit,but mainly undertakes the liaison and consultation work on the head office's related e business. RO can't receive payments from its clients, issue official invoices, or signing sales or purchase contracts.

Name of Guangzhou RO


The name of the Representative office should be in the form of "Name of the Enterprise + Name of the City + Representative Office".

 

Procedures of Guangzhou Representative Office Registration

 

1. Apply for Registration Certificate with Guangzhou Administrative Bureau of Industry and Commerce (GZABIC).

2. Chops made by Public Security Bureau

3. Organization Code License issued by Quality and Technical Supervision Bureau

4. State tax certificate registration

5. Local Tax certificate registration

6. Apply for Foreign Exchange Registration Card

7. Apply for permit for bank account opening,open foreign currency and RMB account

 

Needed Documents for Guangzhou RO registration

 

1. 2x original of Articles of Association of parent company notarized by local lawyer and endorsed by Chinese embassy or consulate overseas.

2. 2x original legal business certificate for more than two years and domicile certificate of parent company notarized by local lawyer and endorsed by Chinese embassy or consulate in that country.

3. 2x original Bank Reference Letter from investor's bank to declaring good standing, and notarized by local lawyer and endorsed by Chinese embassy or Chinese consulate overseas.

4. Certificate with company stamp or signature of lesser and 2x landlord identification documents  

(The lessee should be acted by chief representative, or parent company. The area is required no less than 30 ㎡ and for office use only with more than one year’s rent and the lease) contract should be endorsed by local Housing Management Authority

5. Appointment Letter issued by parent company notarized by local lawyer and endorsed by

Chinese embassy or consulate in that country

6. Authorization Letter issued by parent company notarized by local lawyer and endorsed by Chinese embassy or consulate in that country

7. Chief Representative, general representative’s passport notarized by local lawyer and endorsed by Chinese embassy or Chinese consulate overseas.

8. The resume of the chief representative, general representative

9. China Chief Representative documents: 6 photos (2 inches size), passport copy and resume.

10. If there are Representatives to be stationed in China in addition to the Chief Representative, 3 photos (2 inches size), the resume and passport copy of Representative(s) are required;

Important note: Parent company must be established for more than 2 years.

 

Time Needed


Once all the necessary documents for application are ready for submission, the whole procedure will be finished within 20-25 working days.

RO Tax Information

 

Once the Representative Office is established, it is required to report to the Tax Administration Department monthly (for business tax), quarterly (income tax) and annually. The most common basis is the cost-plus-basis. As at April 2002, the total tax burden under this assessment method is approximately 5-10% of the operating expenses incurred by the representative office.
